Essential Duties and Responsibilities
- Provide strategic legal counsel to executive leadership on corporate, commercial, regulatory, employment, and operational matters.
- Draft, review, negotiate, and manage complex commercial agreements, vendor contracts, partnership agreements, licensing arrangements, and corporate transactions.
- Advise business leaders on legal risks associated with strategic initiatives, mergers and acquisitions, joint ventures, and corporate governance matters.
- Manage litigation, arbitration, regulatory investigations, and dispute resolution activities while coordinating with outside counsel.
- Develop legal strategies that minimize organizational risk while supporting business objectives.
- Interpret federal, state, and international laws affecting business operations and provide actionable legal guidance.
- Partner with Compliance and Risk Management teams to strengthen governance frameworks and regulatory compliance programs.
- Support employment-related matters including policy interpretation, workplace investigations, executive employment agreements, and labor law compliance.
- Review marketing, intellectual property, privacy, and technology-related legal issues.
- Oversee legal due diligence activities supporting acquisitions, investments, and strategic partnerships.
- Prepare executive briefings, legal opinions, board materials, and regulatory documentation.
- Mentor junior attorneys and legal professionals while promoting legal best practices across the organization.
- Develop internal legal policies, contract standards, and governance procedures.
- Manage external legal counsel, budgets, and legal service providers to ensure cost-effective legal representation.
- Monitor emerging legal developments and proactively advise leadership regarding regulatory changes affecting the business.
Job Qualifications and Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- Minimum 8 years of legal experience within a corporate legal department, national law firm, or both.
- Strong expertise in corporate law, commercial transactions, contract negotiation, regulatory compliance, and corporate governance.
- Experience supporting publicly traded companies, financial institutions, healthcare organizations, or multinational corporations is highly preferred.
- Demonstrated experience managing complex litigation, regulatory matters, and high-value commercial transactions.
- Strong knowledge of employment law, data privacy, intellectual property, and enterprise risk management principles.
- Exceptional legal research, drafting, negotiation, and analytical skills.
- Outstanding written, verbal, and executive-level communication abilities.

Compensation & Benefits
